CHRT Tracker Service
1. Scope and Intended Use
- Business shipments only. CHRT trackers and the CHRT Driver App (together, the “Tracker Service”) are provided solely for tracking cargo that is part of a business-related shipment.
- No personal tracking. The Tracker Service may not be used to track individuals or personal shipments. Tracking or surveillance of personnel is prohibited, whether or not an employer believes it has consent. Unauthorized tracking of individuals may be unlawful in many jurisdictions; Customer is responsible for compliance with applicable law.
These Product Specific Terms supplement and, where expressly stated, override the General Terms in the CHRT Customer Agreement.
2. Hardware; Title; Risk of Loss; Returns
- License, not sale. You acknowledge and agree that the Trackers, the embedded software/firmware, and any related services (together, the “Products”) are provided under license, and not sold, to you. You do not acquire any ownership interest in the Products under this Agreement, or any other rights thereto other than the limited right to use the Products in accordance with these Terms. CHRT and its licensors and service providers reserve and shall retain all rights, title, and interest in and to the Products, including all copyrights, trademarks, and other intellectual property rights therein or relating thereto, except as expressly granted in this Agreement.
- Hardware units. Physical tracker hardware may be sold or leased per Order. Title to the hardware casing passes to Customer upon delivery (unless leased), but such transfer of title does not include any rights in or to the embedded software/firmware, which remains licensed as described above.
- Risk of loss. Risk of loss for hardware passes to Customer once CHRT delivers the hardware to the shipping carrier identified in the Order. Customer is responsible for any loss, theft, or damage after that point.
- Returns. Defective units will be handled under CHRT’s then-current return policy. CHRT may provide functionally equivalent replacements.
- End-of-life & disposal. Customer will comply with applicable e-waste and battery disposal laws. CHRT may publish return/recycling guidance to assist with compliance, but is not obligated to do so.
3. Embedded Software/ Firmware License and Restrictions
Subject to the Agreement, CHRT grants Customer a limited, non-exclusive, non-transferable license to use the Tracker firmware and any pre-loaded or bundled software solely: (a) on the device with which it was provided; and (b) to access the Tracker Service during the subscription term. Customer does not acquire any ownership interest in the software or firmware, and CHRT and its licensors and service providers reserve and shall retain all rights, title, and interest in and to the software, firmware, and related intellectual property, except as expressly granted under this Agreement.
Customer agrees not to:
- copy the software;
- modify, translate, adapt, or create derivative works of the software;
- reverse engineer, disassemble, decompile, or otherwise attempt to derive source code (except to the limited extent permitted by non-waivable law);
- remove or obscure any copyright, patent, trademark, or other proprietary notices;
- sell, rent, lease, sublicense, lend, assign, distribute, or otherwise make the software or any functionality of the Tracker Service available to third parties (other than authorized End Users) without CHRT’s written consent;
- circumvent or create workarounds to any technical protections, rights management, or security features;
- use the software on or with any device other than the CHRT-provided tracker with which it shipped.
4. Guidance and Documentation
Customer will use the Tracker Service in accordance with CHRT’s published documentation and deployment guidance available at docs.chrt.com/trackers (or successor site) as updated from time to time. Where trackers are sourced from third-party OEMs, Customer also agrees to any applicable OEM device-handling instructions referenced in CHRT’s documentation.
5. Flow-Down Terms; Third-Party Networks
The Tracker Service may rely on third-party carriers, SIM profiles, satellite or cellular networks, cloud services, and/or OEM firmware. To the extent required by those providers, Customer agrees to flow-down terms identified in CHRT’s documentation. CHRT may update such flow-down terms as providers update their requirements.
- Coverage & throughput. Customer acknowledges that coverage, accuracy, and latency depend on third-party networks and environmental conditions and are not guaranteed.
- Fair use. CHRT may enforce reasonable usage limits (e.g., message/position rate) to protect network integrity.
6. Location Tracking; Privacy; Misuse Prevention
- Transparency. CHRT will collect and process location, device, and sensor data as described in the Privacy Policy and Product docs.
- No unwanted tracking. Customer may not deploy trackers for surveillance of individuals, nor place trackers in personal effects or vehicles for the purpose of tracking a person.
- Geofences/alerts. Alerts may generate false positives/negatives due to environmental or network conditions; do not rely on alerts as the sole basis for safety-critical decisions.
- Audit for compliance. CHRT may review telemetry and device metadata to detect and investigate suspected misuse (e.g., people-tracking patterns, abnormal pairing), and may suspend or disable devices or accounts where CHRT reasonably suspects a violation of these Terms or applicable law.
7. Data Handling; Retention; Suspension
- Retention. CHRT retains shipment location history for the shortest period reasonably necessary to provide the service, meet legal obligations, and resolve disputes, after which it may be aggregated or deleted. Periods are set out in the Privacy Policy or product docs.
- Misuse hold. If CHRT reasonably suspects misuse or receives a lawful request, CHRT may preserve relevant data and limit Customer access while investigating; CHRT may also delete data that is unlawful to retain or where deletion is required by law or where CHRT suspects any misuse.
- Export/Deletion requests. CHRT will process data subject requests as described in the Privacy Policy and applicable law.
8. Updates; Security; Tamper
- Updates. Trackers and apps may automatically receive firmware/software updates that improve security or functionality; Customer will not disable update mechanisms.
- Security. Customer will implement reasonable physical and operational safeguards (e.g., placement, tamper seals). Unauthorized opening or modification of a tracker voids warranties to the maximum extent permitted by law.
- Tamper & loss. Customer will promptly report loss, theft, or suspected compromise so CHRT can disable or quarantine devices.
9. Compliance and Export
Customer will comply with export, sanctions, spectrum, and radio equipment laws applicable to the import/export/use of trackers and any embedded cryptography, and will not use trackers in prohibited countries or for prohibited end-uses.
10. Service Changes; End-of-Support
CHRT may modify or discontinue the Tracker Service or specific radio bands, profiles, or features where required by regulation or third-party provider changes. If materially adverse to Customer during a subscription term, Customer may terminate the affected portion for a pro-rata credit of prepaid, unused fees, which is Customer’s exclusive remedy.
11. Additional Restrictions (Hardware)
Unless permitted by law or expressly authorized in writing by CHRT, Customer will not:
- Relabel, remove, or alter CHRT or OEM branding or regulatory markings;
- Resell trackers except as permitted in an Order or authorized reseller agreement;
- Use trackers in life-support, safety-critical, or emergency applications where failure could lead to personal injury or death.
